刘斌，中国政法大学商法研究所副教授、博士生导师，商法研究所副所长。富布莱特研究学者。主要研究领域为商法与公司法。

Mr. Shi has been practicing law at prominent PRC and international law firms for more than a decade. Mr. Shi specializes in A-share and overseas capital markets, M&A, VC and PE investment, and other related transactions. Mr. Aaron Zhou's practice focuses on cross-border and domestic mergers and acquisitions, private equity investment, venture capital investment, pharmaceutical/healthcare-related (BD) transactions, foreign direct investment (FDI), joint ventures, and general corporate matters. Mr. Zhou's practice covers a variety of industries, including technology, pharmaceutical, medical device, the Internet, telecommunications, healthcare management, insurance, clean energy, natural resources, finance, and culture and entertainment. Mr. Zhou has represented many renowned multinational and PRC companies in their cross-border and domestic merger and acquisition transactions and has acted for many foreign and domestic funds and companies in their private equity financing and venture capital investment projects. He provides a full range of legal services in these transactions and projects, including deal structuring, legal due diligence, drafting and reviewing transaction documents, and leading negotiations. Mr. Zhou has helped many multinational and PRC pharmaceutical and medical device companies in out-license/in-license for the commercialization, development and manufacturing of pharmaceutical products and medical devices, sale and purchase of healthcare-related assets and businesses, research collaboration and manufacturing services agreements, supply agreements, CSO agreements, as well as distribution transactions. 姜冬妮女士专长于税务咨询筹划业务。在加入汉坤之前，姜女士任毕马威税务合伙人。从2005年开始，她先后在两家四大会计师事务所从事税务咨询工作。她拥有丰富的在中国和美国从事专业税务服务的经验，涉及投融资、海内外上市、高净值等领域，已成功协助二十多家民营企业在海内外上市，曾服务于多起新经济行业知名并购重组案例，是多家知名企业和企业家的常年税务顾问。
姜女士擅长于向客户提供税务咨询筹划、并购重组税务方案设计及实施、国际化运营、税务尽职调查、健康检查、税收优惠申请、税务风险管理及合规申报等服务。她对企业的实操运作有充分的了解，特别擅长协助客户将税务筹划方案与落地实施相结合，并擅长协助并购各方根据适用的税收法规和政策申请税收免税及减税优惠待遇。
Ms. Jiang Dongni specializes in tax advisory and planning. Prior to joining Han Kun, Ms. Jiang was a tax partner with KPMG. Ms. Jiang has been engaged in tax consulting since 2005 and has worked for two of the Big 4 accounting firms. She has extensive experience in tax advisory services in China and the United States involving areas such as investment and financing, IPOs, and high-net-worth individuals. She has successfully assisted over 20 private enterprises in their IPOs. She has advised on several well-known M&A transactions in the new economy sector and is a trusted tax consultant for many well-known enterprises and entrepreneurs.
Ms. Jiang is adept at providing tax planning, tax restructuring, and implementation for M&As, international operations, tax due diligence, health checks, tax preference applications, and tax risk management and compliance. She excels at implementing tax planning and is especially good at assisting M&A parties in applying for preferential tax treatment pursuant to applicable tax rules and policies.

朱奇敏律师2010年起从事诉讼律师工作。在加入汉坤之前，朱律师就职于北京市金杜律师事务所诉讼部。
朱律师的执业领域为商事争议解决和法律风险管理，其擅长处理各类商业纠纷，包括协助潜在争议的前期商业谈判以及代为处理后续诉讼、仲裁相关法律程序。朱律师处理的纠纷类型多样，包括各类商业合同纠纷以及与公司有关的诉讼。朱律师尤其擅长处理公司控制权争议，近年参与了多起在中国市场上具有相当知名度和社会关注度的重大的公司控制权纠纷系列案件的处理，在此方面积累了丰富的经验。
Ms. Zhu has been practicing law since 2010. Prior to joining Han Kun Law Offices, Ms. Zhu practiced with the litigation department at King & Wood Mallesons (Beijing).
Ms. Zhu focuses on commercial dispute resolution and legal risk management and specializes in handling a variety of commercial disputes, including assisting in preliminary business negotiations of potential disputes and handling subsequent litigation and arbitration proceedings. Ms. Zhu is experienced in dealing with various types of disputes, including corporate-related litigations and commercial contract disputes. Ms. Zhu is particularly good at handling corporate governance disputes. Notably, Ms. Zhu has in recent years participated in several major cases involving disputes over corporate control that drew considerable public interest in the Chinese market and accumulated great experience in this area.
