On 29 December 2023, the Standing Committee of the National People's Congress passed the Amendment to the Company Law of the People's Republic of China (the new "Company Law"). The new Company Law introduces important changes to the company capital system, the company governance structure, the duties of directors, supervisors and senior executives, and the simplification of procedures, and officially came into force on 1 July 2024. On March 15, 2024, the Supreme People's Court and the Supreme People's Procuratorate jointly issued the "Interpretation on Several Issues Concerning the Application of Law in Handling Criminal Cases Involving Harm to Tax Collection and Management" (the "Supreme People's Procuratorate Interpretation")and eight typical criminal cases of punishing harm to tax collection and management in accordance with the law. With the promulgation of the new Company Law and the Supreme People's Procuratorate Interpretation, taxpayers also need to pay attention to the tax implications of the revised provisions.
