AmCham China Financial Services Forum is very honored to invite Professor Nico Howson from Michigan Law School to discuss the ongoing effort to amend the 2006 PRC Securities Law, and what it means for both corporate finance and the development of rule of law institutions in China.


Between 2015 and 2017, Professor Nico Howson served as the only non-Chinese citizen member of the Asian Development Bank's expert group advising the National People's Congress of the PRC on amendment of the 2006 PRC Securities Law. Starting in the summer of 2015, and before the stunning collapse in the Chinese stock exchanges in July and August of that summer, and a later crash at the start of 2016, the process gave Howson a unique look inside the process of legislative drafting in contemporary China, and, perhaps more importantly, the politics surrounding regulation of the capital markets in China, the tension between state directed markets and relatively autonomous but regulated markets, and the keen sensitivities surrounding establishment of a private attorneys general system allowing enforcement by private claimants before formal judicial institutions and not just (traditional) public enforcement by the Chinese party state.

    Nicholas Calcina Howson

    Professor of Law, University of Michigan Law School

    Nicholas Calcina Howson is a Professor of Law at the University of Michigan Law School. A former partner of Paul, Weiss, Rifkind, Wharton & Garrison LLP, he worked out of that firm's New York, Paris, London and Beijing Offices, finally as a managing partner of the firm's Asia Practice based in the Chinese capital. During this time, he acted for clients in precedent-setting transactions, including the first SEC-registered IPO and NYSE-listing by a PRC-domiciled issuer and the first private placement of shares to foreign interests in a newly privatized PRC company limited by shares and subsequent IPOs on the domestic Chinese capital markets. Howson has also taught at the Berkeley (Boalt), Columbia, Cornell, and Harvard Law Schools, and served as a consultant on Chinese law matters to the Ford Foundation, the United Nations Development Programme, the Asian Development Bank, and the Chinese Academy of Social Sciences, and has advised the National People’s Congress of the PRC on the amendment of the PRC Company Law and the PRC Securities Law. He acts regularly as a Chinese law expert or party advocate in U.S. and international litigations and/or U.S. government enforcement actions. Professor Howson is a designated foreign arbitrator for the China International Economic and Trade Arbitration Commission (CIETAC) in Beijing and the Shanghai International Economic and Trade Arbitration Commission (SHAIC).

Terms and Conditions

Attending an Event

Events have limited seating, so to ensure your attendance we encourage advance online registration and payment for ALL events. We cannot guarantee entry to anyone not registered in advance. Most of our events are in English and off the record, but please check the webpage for each event to avoid disappointment.


Advance Tickets and Discounts 

Members can receive a discount by purchasing an advance ticket at least 24 hours before the day of the event. You must pay online at the time of registering for the event to be eligible for a discount. Discounts will not be available to members at the door.


Receipts (fapiao) 

You can receive your fapiao when you arrive for an event provided that you buy an advance ticket and pay online at least 1 working day before the event and you provide the correct information for your fapiao at that time. You can leave details of the type of fapiao you need on the registration and payment page.


Event attendees can request a fapiao at the door or up to two months after the event. Requests made after that time will not be accommodated. Please contact the AmCham China staff member responsible for organizing your event.


Cancellation Policy

If you cannot attend an event for which you have registered, please cancel your registration no later than one business day prior to the event. If you fail to notify AmCham China of your cancellation in a timely fashion, you will forfeit the fee you have already paid.


To cancel you can: 1) cancel directly online through the EventBank platform on which you registered or 2) contact the AmCham China staff member responsible for organizing your event.
