Risk Control in the Signing and Performance of Procurement Contracts

Procurement is one of the most important business activities for most enterprises. In the process of procurement, people usually pay too much attention to the quality, quantity and price of the objects, but ignore the hidden risk throughout the transaction, and unable to identify the signals appeared and react with appropriate responses to cause unnecessary losses increase.

On March 26th, 2021, Dentons Dalian will host a section to talk about how to manage the key transaction points throughout the entire contract execution and performance process, turn passive into active, and effectively control the procurement transaction risks through the problems that are easy to appear in the four links of contract signing, delivery, acceptance and termination, based on the actual cases.

The main contents include but are not limited to:

Contract signing stage: including the conditions for the establishment and effectiveness of the contract, the form of the contract, the difference between the deposit and the advance payment, and the key points of the order and quotation request documents.

Goods delivery stage: including the time of goods risk transfer, the difference between force majeure and change of circumstances.

Goods acceptance stage: including the rules of goods acceptance and the response to quality disputes.

Contract termination stage: including the rules of contract termination, the legal consequences of contract termination, and the draft of liquidated damages clauses for contract termination.
