Mark your calendar for new company law event on April 19, AmCham China will invite industry experts to make a all-star panel to further discuss the key changes of new company law, and this event will focus on more practical issues, experts will share their insights from different angles for different types of companies. You will see the topics as below, considering the seats are limited, we will make this event as a hybrid event, all members are welcomed to join and bring your own questions!


Corporate Governance

  • Given the new amendments to the PRC Company Law, how should enterprises divide the authorities among the shareholders' meeting, board of directors, and the manager?
  • How will the legal representative be appointed?
  • What are the quorum and voting requirements for the board of directors and shareholders meeting? Any impact of these on deadlock provisions?

Duties, Liabilities, Conflicts, and Related Party Transactions

  • What are the duties, liabilities, and conflict provisions of the amended PRC Company Law?
  • How do these impact decisions on the selection of shareholder representatives and directors?

Joint Ventures

    Tracy Doherty-McCormick

    Country Counsel in China at Boeing

    Tracy Doherty-McCormick serves as Boeing’s Country Counsel in China. She previously served as the First Assistant U.S. Attorney and Acting U.S. Attorney in the U.S. Attorney’s Office, Eastern District of Virginia, U.S. Department of Justice, where she prosecuted federal cases and oversaw the office. As General Counsel, Tracy assisted in standing up a newly created special inspector general’s office within the U.S. Department of the Treasury to investigate and audit pandemic-related fraud, waste, and abuse. Tracy was a Legislative Assistant at the U.S. Senate, Committee on the Judiciary, and a Law Clerk in the U.S. District Court, Eastern District of Virginia. She has held a variety of legal and consulting positions in the U.S. and abroad, including at law firms in Washington, D.C. and Hong Kong. Tracy graduated magna cum laude from the Georgetown University Law Center. She studied Mandarin Chinese at the Chinese University of Hong Kong, New Asia Yale-in-China Chinese Language Center.

    Mr. Zhou is the author of the Business Organization Chapter published in Business Law in China: Trade, Investment, Operations and Finance. ICC Publ. No. 672, 2d rev. ed. He is also one of the authors of China’s Anti-Monopoly Law – The First Five Years, published by Wolters Kluwer in 2012. He has written articles in such periodicals as China Law & Practice, Asia Pacific Antitrust and Trade Review, Capital and others on a wide range of topics including M&A, corporate restructuring, private equity/venture capital investment, foreign direct investment in China, tax and regulatory matters.
