Employee Stock Ownership Plan (ESOP) is an employee-owner program that provides a company's workforce with an ownership interest in the company. For small and medium-sized businesses, giving shares or options to their employees is widely used to reward their outstanding performance, enhance their loyalty to the company, and stimulate their greater contribution without strong impact on the liquidity and cash flow of the company. Since retaining and incentivizing the best talents are very critical for SMEs, a good ESOP can help SME leaders reduce turnover rate and keep their business consistent with the long-term objectives.

AmCham China SME CEO Series is a platform for SME leaders to share their knowledge and experience in an interactive and effective way, and establish connection and business cooperation with their counterparts. This time it will be a workshop with Jerry Ku, Partner in the Corporate and Securities Group of Gunderson Dettmer, to provide instructions and best practices on the design and implementation of ESOP for SMEs.

We welcome CEOs or founders of SMEs from all sectors to participate in this small-scale workshop on the following topics:
  1. What is a good ESOP for SMEs?
  2. How to design this plan for core teams and other employees and sell it to them?
  3. How to modify or adjust the plan in different developing phases of the company?
  4. Best practices and case studies.

    Jerry Ku

    Partner in the Corporate and Securities Group at Gunderson Dettmer

    Jerry Ku is a partner in the Corporate and Securities Group of Gunderson Dettmer. Mr. Ku is broadly experienced with corporate formation and governance matters, venture capital financing transactions, public offerings and a variety of M&A transaction structures involving companies based in the U.S. and China. Before co-founding Gunderson Dettmer’s Beijing office, Mr. Ku practice in Silicon Valley for over a decade and was responsible for several hundred venture/PE investments, tens of M&A transactions and many U.S. IPOs and listed securities compliance matters, with total transaction value of several billion US Dollars. Mr. Ku was award by ACQ5 as “Best Corporation Formation Lawyer – China” for 2014 and 2015, and in 2015 penned the update to Chapter 16, Federal Securities Law Exemptions Used for Venture Capital Placements and Employee Stock Purchases, in the authoritative treatise Venture Capital & Public Offering Negotiations.

    Mr. Ku represents a wide variety of technology companies from clean tech, consumer Internet, software, telecommunications, entertainment technology and education industries, as well as a number of leading venture capital firms. Mr. Ku holds a J.D. from Columbia Law School and received his B.S., double majoring in Biology and Philosophy, from Duke University.

Attending an Event
Events have limited seating, so to ensure your attendance we encourage advance online registration and payment for ALL events. We cannot guarantee entry to anyone not registered in advance.
Most of our events are in English and off the record, but please check the webpage for each event to avoid disappointment.

Advance Tickets and Discounts
Members can receive a discount by purchasing an advance ticket at least 24 hours before the day of the event. You must pay online at the time of registering for the event to be eligible for a discount.
Discounts will not be available to members at the door.

Receipts (fapiao)
You can receive your fapiao when you arrive for an event provided that you buy an advance ticket and pay online at least 1 working day before the event and you provide the correct information for your fapiao at that time. You can leave details of the type of fapiao you need on the registration and payment page.
 
Event attendees can request a fapiao at the door or up to two months after the event. Requests made after that time will not be accommodated. Please contact the AmCham China staff member responsible for organizing your event.
 
Cancellation Policy
If you cannot attend an event for which you have registered, please cancel your registration no later than one business day prior to the event. If you fail to notify AmCham China of your cancellation in a timely fashion, you will forfeit the fee you have already paid.

To cancel you can: 1) cancel directly online through the Eventbank platform on which you registered or 2) contact the AmCham China staff member responsible for organizing your event.
