At a practical level, the legislative focus on ESG in supply chains means that companies need to have a detailed picture of their existing supplier arrangements. Smaller companies, as the suppliers of large companies, need also to be aware of the potential for indirect impact. Regulators around the world have introduced or proposed climate-related information disclosure rules. In particular, the EU Corporate Sustainability Reporting Directive (the "CSRD") will extend the scope of sustainability reporting to non-EU companies and groups on a phase-in basis starting in 2024. Given the significant lead time to generate data to be reported under the CSRD, companies should review their planning on data management, systems updates, and management reporting to ensure timely compliance. Preparation and anticipation in view of the growing focus on ESG in supply chains and information disclosure would also reduce the risk of litigation or help in responding to likely anti-greenwashing claims.
