Understanding the State Council Regulations on Outbound Investment (State Council Decree No. 837)

In June 2026, the State Council promulgated the first administrative regulation on outbound investment—the Regulations on Outbound Investment—which will come into force on 1 July 2026, marking a comprehensive upgrade of China's outbound investment oversight from fragmented management to a top‑level legal framework. The new regulation introduces whole‑process supervision, cross‑border controls on technology and data, the statutory codification of security reviews, and countermeasure mechanisms against investment barriers. These changes will fundamentally reshape compliance costs, liability piercing, and global strategic positioning for both Chinese enterprises expanding overseas and foreign‑invested enterprises operating in China.     With nearly 30 years of legal experience, Mr. Zhou concentrates his practice on foreign direct investment, cross-border mergers and acquisitions, private equity and venture capital transactions, as well as regulatory compliance and data security matters. He regularly advises multinational corporations (from Fortune 500 to SMEs) and non-governmental organizations across diverse industries—including technology, automotive, aviation, media and entertainment, semiconductors, healthcare and life sciences, banking and financial services, publishing, manufacturing, consumer products, and professional services—on their strategic expansion, investments, and business operations throughout China and Asia.
    Mr. Zhou also advises leading Chinese companies on outbound investments, cross-border mergers and acquisitions, and strategic alliances across global markets including the United States, Europe, and other key jurisdictions. He is also familiar with regulatory matters impacting international trade and investment, including CFIUS reviews, export controls, and economic sanctions.

    Prior to joining JunHe, Mr. Zhou was a partner in the transactional and regulatory group at Wilmer Cutler Pickering Hale and Dorr LLP. Earlier in his career, he practiced corporate law at Paul, Weiss, Rifkind, Wharton & Garrison LLP, working in its New York, Hong Kong and China offices.

    Mr. He has 25 years’ experience in handling IP litigation, antitrust, policy advocacy and compliance matters. He started his legal career as a patent attorney in Silicon Valley and spent about 9 years in a major international law firm before developing his private practice in China. He successfully guided clients on many complex China legal matters, including FRAND rate setting, injunctive relief in chemical patent litigations, live sports broadcast, bad faith trademark litigations, major licensing transactions in semiconductor and wireless communications. Major industrial associations often consult with him on China legal and policy matters. Mr. He was selected as Recommended Intellectual Property Lawyer by Chambers Asia-Pacific, Legal 500, Who’s Who Legal, WTR 1000, Benchmark Litigation, ALB, Managing Intellectual Property IP Stars, IAM Patent 1000, IAM Strategy 300 and Global Leaders, and the Client Choice Awards by Lexology.

    Mr. He is passionate about making policy changes and contributing to legal environment in China. He was the key consultant conducting a U.S.-China Intellectual Property Dialogue where top U.S. and China experts convene and deliver roadmap documents for China intellectual property reforms. He also leads the policy programs as the executive director of Beijing Zhongguancun (ZGC) Intellectual Property Strategy Research Institute.

    Mr. He has been actively contributing leadership in education and legal professions and is also involved in multiple charity programs related to environment, rural education and art. Mr. He is the appointed advisor for LL.M program at Peking University School of IP and an adjunct professor in Nanjing Normal University. Mr. He is on the Executive Council of China IP Law Society. He also serves on Penn State Dickinson Law Innovation IP Initiative Advisory Board, Notre Dame Law Association Board and Asia Co-chair of Global Intellectual Property Alliance.
