Read out of rules on countering foreign states' unlawful extraterritorial jurisdiction measures
This event will examine the impact of China's Provisions on Countering Unjustified Extraterritorial Jurisdiction of Foreign Countries on foreign-invested enterprises in China 《反外国不当管辖条例》focusing on two key perspectives: dispute resolution and compliance. It will analyze how the "prohibition order" mechanism and the expanded jurisdictional reach of Chinese courts are reshaping cross-border litigation and arbitration, and explore how foreign companies can restructure contractual terms, apply for exemptions, and avoid being placed on the "malicious entity list" when facing conflicts between home-country requirements and Chinese law. The goal is to help enterprises establish a dual compliance system that balances respect for Chinese legal authority with the protection of commercial interests.
This seminar will deeply analyze how foreign enterprises in China can build a dual-compliance system while operating in a "tight spot":
- Identification and Response: How to determine whether a specific requirement from the home country constitutes "unjust extraterritorial jurisdiction" under Chinese law?
- "Gold Standard" Procedure: When home-country headquarters' demands conflict with a Chinese "blocking order," how to initiate an "exemption application" with the Chinese government under Articles 6 and 13 of the Regulations?
- Contract Restructuring: How to revise clauses on applicable law, sanctions compliance, and termination in cross-border contracts to avoid constituting breach of contract or tort under Chinese law?
- Crisis Management: Facing potential risks of being placed on the "Malicious Entity List," how should enterprises establish firewalls and adjust their global supply chain layouts?
